YogSpace Instructor Agreement


1. Parties

This Instructor Agreement ("Agreement") is between YogSpace Ltd, a company incorporated in England and Wales (company number: to be inserted upon incorporation) ("YogSpace", "we", "us"), and the individual identified at sign-up ("Instructor", "you").

2. Definitions

  • Platform — the YogSpace website and application.
  • Session — a live, 1:1 video yoga session booked by a Student through the Platform and delivered via the Platform's Zoom infrastructure.
  • Student — a user who books and pays for a Session through the Platform.
  • Wallet — your internal YogSpace earnings ledger, credited per completed Session and debited on withdrawal.
  • Withdrawal — a transfer of Wallet funds to your bank account via Wise.
  • Verification — the credential review process described in Section 3.

3. Eligibility & Credentialing

3.1 You represent that you hold a current RYT-500 (or higher) registration with Yoga Alliance, or an equivalent credential we approve in writing.

3.2 Your application passes through a review flow with these possible states: pending → under review → approved / needs more information / rejected. If placed in "needs more information," you may resubmit; we will tell you what's missing. We may also route applications through an automated pre-check before human review — this doesn't replace human judgment on your final approval.

3.3 We may suspend or revoke your approval at any time if we reasonably believe your credentials have lapsed, were misrepresented, or you've violated this Agreement or our platform policies.

4. Services

4.1 You will deliver live, 1:1 therapeutic yoga instruction to Students who book Sessions with you, at the times you make available in your Platform calendar.

4.2 Sessions are hosted on YogSpace's own Zoom infrastructure, not your personal Zoom account. You are granted "host" privileges inside the Session room for the duration of the booking only. You do not own, and may not export or repurpose, the underlying meeting infrastructure or Student contact details obtained through it.

4.3 You are solely responsible for the professional quality, safety, and appropriateness of the instruction you provide, including adapting sessions for any health conditions or limitations a Student discloses (e.g., prenatal, back pain, post-injury contexts). See also our Medical Disclaimer, which applies to every Session.

5. Fees & Commission

5.1 During the current beta, platform-wide commission is set to 0% via a global configuration switch. We will give you 30 days' written notice before enabling commission platform-wide.

5.2 Once commission is enabled, your individual commission rate is set by a volume-based tier structure, recalculated periodically from your trailing 30-day session revenue (gross merchandise value, or "GMV"):

Your tier is recalculated automatically and may move up or down as your volume changes. This table (or its successor, if amended with notice under Section 14.2) is what actually governs — not any percentage quoted elsewhere.

5.3 All commission terms in effect in-app at the time of a given Session govern that Session, even if this Agreement is later amended.

6. Payments & Your Wallet

6.1 Stripe, our payment processor, is the merchant of record for all Student payments — not you, and not YogSpace directly. Students pay through Stripe; YogSpace does not route payments through Stripe Connect on your behalf, and you never handle a Student's payment directly.

6.2 Your net earnings (Session price minus any applicable commission) accrue to your Wallet after the Session is confirmed complete, subject to Section 7 (Cancellations) and any open dispute involving the Session.

6.3 You may withdraw available Wallet funds via Wise, subject to: (a) a minimum withdrawal amount set in-app and adjustable by us from time to time, (b) our identity/bank-detail verification requirements, and (c) a hold on withdrawal if you have an open dispute. PayPal and Stripe Connect are not currently available withdrawal methods — Wise is the only live payout rail today, regardless of what may be referenced elsewhere as a future option.

6.4 You are solely responsible for reporting and paying any taxes owed on your earnings in your jurisdiction of residence, and for complying with your local foreign-exchange and tax-reporting obligations (e.g., FEMA/RBI rules and FIRC documentation if you are based in India).

6.5 If a Wise transfer fails or we're unable to fund a withdrawal promptly (including due to regulatory constraints on our end), we will notify you and work in good faith to resolve it; delay caused by such constraints doesn't forfeit your right to the funds.

7. Cancellations, Rescheduling & No-Shows

7.1 Cancellation and rescheduling are governed by the policy shown in-app at the time of booking (including any lock-out window before a Session and any refund tiers), which YogSpace may adjust from time to time with notice to you. See our Refund & Cancellation Policy for the Student-facing version of these same rules.

7.2 If a Student cancels within the platform's refund window, the Student receives an automatic refund to their original payment method, and the corresponding amount is automatically deducted from your Wallet for that Session (in full or in part, matching the Student's refund). This happens without manual review on our part.

7.3 If a Student reports that you did not attend a Session (after the platform's grace period), the Student receives an automatic full refund, and the full amount is deducted from your Wallet for that Session. This is not manually reviewed before the refund happens — if you believe a no-show report against you was made in error, contact support to dispute it after the fact under Section 12.

7.4 If you report that a Student did not attend a Session, there is currently no automatic consequence to your Wallet or payout for that Session — our team reviews these reports manually and follows up as needed.

7.5 Repeated no-shows or late cancellations attributable to you may result in warnings, temporary suspension, or termination under Section 11.

8. Non-Circumvention

8.1 You agree not to solicit or accept payment from a Student outside the Platform for Sessions arranged through YogSpace, and not to direct Students to contact you off-platform in order to avoid commission, for as long as commission applies to that Student relationship, and for 12 months after your last paid Session with that Student.

8.2 You acknowledge that in-Session and in-app chat may be automatically screened for contact information or off-platform payment solicitation as part of enforcing this section. A serious or repeated violation may result in immediate termination under Section 11; it does not, however, entitle YogSpace to claw back Wallet funds you've already properly earned from unrelated, non-circumventing Sessions.

8.3 This section does not apply to personal relationships or students you already taught before joining YogSpace, provided you disclosed that pre-existing relationship at signup.

9. Independent Contractor Status

You are an independent contractor, not an employee, partner, or agent of YogSpace. Nothing in this Agreement creates an employment, partnership, or joint-venture relationship. You are responsible for your own equipment, tax filings, and any local business registration required to provide your services.

10. Confidentiality & Data

10.1 You will keep confidential any non-public information about YogSpace's business, technology, or Students that you learn through the Platform.

10.2 You will handle Student personal and health-related information disclosed to you (e.g., pregnancy, injury, medical conditions) with the same duty of confidentiality a reasonable yoga therapist would apply, and only use it to deliver the Session.

10.3 If you are based in the EU/UK, you acknowledge GDPR applies to personal data you process in the course of Sessions. See our Data Processing Addendum for how YogSpace and its subprocessors handle platform data.

11. Term & Termination

11.1 This Agreement starts when you accept it and continues until terminated by either party.

11.2 You may stop offering Sessions and close your account at any time; outstanding Wallet balances remain payable subject to Section 6.

11.3 We may suspend or terminate your access immediately for: credential misrepresentation, safety concerns, repeated no-shows, violation of Section 8 (Non-Circumvention), fraud, or serious/repeated policy violations. We may terminate for other reasons with 30 days' notice.

12. Disputes Between You and a Student

12.1 If a Student raises a dispute about a Session, it will be handled through YogSpace's dispute process; your Wallet funds tied to that Session may be held pending resolution.

12.2 You'll be notified when a dispute naming you is opened and given an opportunity to respond before a decision is made.

13. Liability & Insurance

13.1 We recommend you carry professional liability insurance appropriate to teaching therapeutic yoga, including for prenatal and injury-recovery contexts. This is a recommendation, not a requirement, to teach on the Platform today.

13.2 To the maximum extent permitted by law, YogSpace's liability to you arising from this Agreement is limited to the commissions and fees actually paid or payable between us in the 3 months preceding the claim.

14. General

14.1 This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from it.

14.2 We may update this Agreement with notice; continued use of the Platform after the effective date constitutes acceptance.

14.3 This Agreement, together with our Terms of Service, Privacy Policy, and Medical Disclaimer, is the entire agreement between us on this subject.
